Terms of service

#1. Who we are and what these terms cover

These terms are an agreement between you and Crăciun Cosmin Viorel PFA, a sole trader registered in Romania (“we”, “us”). They cover the Side Whisper app for Windows, this website and your Side Whisper account.

By installing or using the app, or by creating an account, you accept these terms. If you use Side Whisper for an organisation, you accept them on its behalf and confirm that you may do so.

#2. Your licence to use the app

We give you a personal, non-exclusive, non-transferable licence to install and use Side Whisper on Windows PCs you own or control, for as long as you follow these terms. Free may run on any number of PCs; Pro features run on up to 3 PCs signed in to your account.

The app is licensed, not sold. You may not copy it for others, resell or sublicense it, get around its plan checks, or reverse engineer it, except where the law allows that despite this restriction.

Side Whisper includes open-source components under their own licences, listed in the app under Settings, then General. Voice models come with their own licences, shown in Settings: the Whisper and Moonshine models under MIT, and NVIDIA Parakeet v3 under CC BY 4.0. The Microsoft Store’s terms also apply to how you get the app from the Store.

#3. Free, Pro and the trial

Free has no time limit and needs no account. Pro adds the features listed on the Pricing page, on up to 3 PCs signed in to one account.

The 14-day Pro trial asks for no card. Each person and each PC can have one trial. When it ends, your account returns to Free on its own and nothing is charged.

When Pro ends, Side Whisper keeps working on Free. Themes, templates, Dictionary entries and Snippets beyond the Free limits stay readable and you can delete them, but you cannot add new ones until you have Pro again.

Side Whisper changes over time. If a change makes Pro noticeably worse for you, you can end your subscription within 30 days of our telling you about it and get a refund for the unused part.

#4. Buying Pro

Our order process is run by our online reseller, Paddle.com. Paddle is the merchant of record for all our orders: it takes the payment, adds the tax that applies where you live, sends the receipt and the invoice, and handles billing questions and refunds. Your purchase is also covered by Paddle’s Buyer Terms.

Pro costs $4.99 a month, $39 a year, or $99 once for a lifetime licence ($79 for the first 500 lifetime licences). Prices are in US dollars, and Paddle shows the final price, with any tax, before you pay.

Monthly and yearly plans renew automatically at the end of each period until you cancel. You can cancel at any time in the billing portal, and Pro stays on until the end of the period you paid for. If we change the price of a subscription, we tell you at least 30 days before it applies to you, so you can cancel first.

A lifetime licence gives your account Pro, with every update we release, for as long as we offer Side Whisper. It is not tied to a version and cannot be transferred to another account.

You can get a refund within 14 days of any purchase, lifetime included, as the Refund policy explains. That is at least as generous as the EU right of withdrawal for online purchases.

#5. Your account

You need an account for the trial, Pro and Sync. Use an email address you control and keep it secure: anyone who can read that inbox can sign in. An account is for one person, on up to 3 PCs.

You must be at least 16 to create an account.

You can delete your account at any time under Account, then Profile, after cancelling any active subscription.

#6. Using Side Whisper fairly

Use Side Whisper lawfully. In particular, do not:

• break the terms of the websites, services or games you use with it, including their rules on overlays, automation or multiple accounts;
• use it to harm others, to send spam or to infringe anyone’s rights;
• attack, overload or probe this website or the account service, except through responsible disclosure;
• create accounts in bulk, share or resell an account, or abuse the trial;
• get around plan checks, rate limits or other technical limits.

If you break these rules, we may suspend or close your account, after warning you where that is reasonable.

#7. Websites, games and other services

Side Whisper opens websites in its own windows. They belong to others and follow their own terms and privacy policies; we neither control nor endorse them. What you do on a website, including signing in to it, is between you and that website.

Games and anti-cheat systems may block or prohibit overlays, and exclusive fullscreen can hide them. Side Whisper does not get around those protections and makes no promise about frame rates.

Search suggestions come from DuckDuckGo, ad-blocking lists from their maintainers and voice models from their publishers, each under their own terms.

#8. Your content and your data

What you create in Side Whisper, such as links, templates, themes, Dictionary entries and Snippets, stays yours. If you use Sync, you allow us to store it and move it between your PCs, only to provide Sync.

#9. Updates and availability

Side Whisper is distributed through the Microsoft Store, which delivers its updates. Keep the app up to date to get fixes and to keep Pro and Sync working.

The app works offline on Free. The account service, Sync and Pro checks need the internet. We work to keep them available but cannot promise they will never be interrupted, for example during maintenance or an outage at one of our providers.

#10. What we promise, and what we do not

We build Side Whisper with care and fix problems as we learn about them. If you are a consumer, you have the legal guarantee that the app and its services conform to this agreement, and nothing in these terms limits it.

Beyond that guarantee, and as far as the law allows, Side Whisper is provided as it is. We do not promise that it is free of errors, that it works with every website or game, that dictation is always accurate, or that it suits a particular purpose.

#11. Liability

We are fully liable for damage we cause on purpose or through gross negligence, for death or personal injury, and wherever the law does not allow liability to be limited.

Otherwise, and as far as the law allows, we are liable only for foreseeable damage typical of an agreement like this one, up to the greater of what you paid for Side Whisper in the 12 months before the claim and 50 euros. We are not liable for data loss that reasonable backups would have prevented, or for what websites and games do.

#12. Ending this agreement

You can stop at any time: uninstall the app and, if you have one, delete your account.

We may suspend or end your access if you seriously or repeatedly break these terms, or if the law requires it. If we end a paid plan when you are not at fault, we refund the unused part. If we ever stop offering Side Whisper, we will tell you in advance.

#13. Changes to these terms

We may update these terms, for example when Side Whisper or the law changes. When a change matters, we tell you at least 30 days in advance, by email or in your account, and ask you to accept the new terms when you next sign in. If you do not agree, you can stop using Side Whisper and cancel your plan before the change applies.

#14. Governing law and disputes

These terms are governed by Romanian law. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you can bring a claim before its courts. Otherwise, the courts of Romania have jurisdiction.

If something goes wrong, write to us first: most problems are solved quickly that way. Consumers in Romania can also turn to the national consumer protection authority, ANPC (anpc.ro).
